ZIA Product Reference Guide

1. Introduction
This Product Guide defines the different modules and add-ons that make up Neurolabs' ZIA Software. It sets out what each Module does, what a subscription entitles the Customer to, and where the boundary sits.
It does not specify any pricing. Charges, quantities and the specific Modules licensed are set out in the Order Form.
It also specifies details of the various Subscription Tiers offered by Neurolabs, and the corresponding units of measurement and entitlements per Subscription Tier.
It constitutes the "Product Guide" as defined in the Neurolabs' Customer Terms, which forms part of the Agreement between the parties.

Where a term is capitalised here and not defined, it has the meaning given in the Customer Terms or the Order Form. References to the Order Form are references to the Order as defined in the Customer Terms.
2. Units of Measure

| Image | A single image submitted for processing that meets the Image Quality Requirements in section 3.2 of the SLA. Published processing times assume an Image containing roughly 40 products. |

3. Tenants
A Tenant separates one set of catalogue, users and data from another. Most Customers need one. Groups operating across several markets often need more.

The Image allowance attaches to the Order Form and is pooled across the Tenants under it. Consumption is reported per Tenant so the Customer can see where volume goes.
An Additional Tenant is available to the same legal entity or corporate group. A Tenant serving a different legal entity needs its own Order Form and Subscription Tier, unless otherwise specified in an Order Form.
4. ZIA Vision
Base Platform. Every ZIA subscription includes ZIA Vision.
Vision detects Supported Concepts in an Image, extracts features from what it finds and returns structured results. It also holds the catalogue in which the Customer's Items, their metadata and their visual reference data are stored, enriched and maintained.
Available through the REST API (v3) and the Vision web application.

What the subscription covers
Catalogue Management is included for the Customer's own catalogue up to 1,000 SKUs per Tenant, including upkeep as new, changed, seasonal and promotional lines come through.
The Customer supplies the source material, either by capturing products in store through ZIA Lens or by providing artwork. Neurolabs processes, enriches and maintains what it receives. Onboarding carried out by Neurolabs on the Customer's behalf, volume above the allowance and competitor catalogue at any volume are quoted as Managed Services.

- Concepts outside the Supported Concept list
- Categories or retail environments not named in the Order Form
- Competitor Items not onboarded to the catalogue
- Catalogue onboarding effort itself, which is an Implementation Service
- Data migration from third-party systems
5. ZIA Operations
Optional Module. Requires ZIA Vision.
Where the Customer's retail universe and field activity are managed, and the route by which field capture reaches the catalogue.

6. ZIA Insights
Optional Module. Requires ZIA Vision.
Recognition and catalogue data, aggregated for reporting or delivered into the Customer's own data estate. Insights is licensed in one of two shapes. The Order Form states which.

7. ZIA Lens
Optional Module. Requires ZIA Vision and ZIA Operations.
The Neurolabs field application. Field operators capture the shelf under guidance and onboard products the catalogue does not yet recognise.
Lens suits brands that do not already run a sales force automation tool, where it is the whole field application rather than a component of one.

SKU onboarding
Where an operator meets an Item the catalogue does not recognise, they capture it without leaving the mission: a barcode scan against the local catalogue, then guided multi-angle capture. What they capture routes through ZIA Operations into Catalogue Management in ZIA Vision.
Lens is one of the two ways the Customer supplies the catalogue source material described in section 4. The other is artwork.

8. ZIA Mobile SDK
Optional Module. Requires ZIA Vision.
The same capture capability, embedded in an application the Customer already ships to its own field teams. It submits directly to the Vision API.
The SDK suits field marketing agencies and brands already running a sales force automation tool, where asking field operators to carry a second application is not realistic.

Images captured through the SDK are processed under the Customer's subscription and count against the Subscription Tier in the same way as any other Image.
Licence conditions
Applications embedding the SDK are named in the Order Form. Redistribution is limited to those applications, the licence runs co-terminously with the subscription, and the SDK may not be reverse engineered or its models extracted or retained.

- White-labelling of the ZIA web applications
- Access to Neurolabs models or training data
9. Add-ons
Add-ons extend what ZIA Vision extracts from an Image. Each requires the Base Platform and is charged as an uplift per Image.
Digital Realogram
Spatial reconstruction of the shelf: where products sit relative to one another and where they are missing.

Planogram compliance scoring against the Customer's own planogram, linear shelf size estimation and extended shelf stitching are not included.
Revenue Intelligence
Pricing and promotional data extracted from detected concepts, and associated to the SKU it applies to.

Realogram and Revenue Intelligence bundle
Both add-ons together, at a lower combined rate than buying each on its own.
10. Subscription Tiers
Subscription Tiers are volume bands. They do not change what ZIA can do: two Customers on different Subscription Tiers with the same Modules and add-ons get the same capability.

Choosing a Subscription Tier is a fixed commitment for the agreed Initial Subscription Period (unless otherwise agreed in an Order Form). Images consumed above the included allowance are charged at the additional-Image rate in the Order Form. The subscription charge includes Catalogue Management within the allowance described in section 4, and there is no set-up fee.
ZIA Lens and the ZIA Mobile SDK are licensed separately, by number of Authorized Users, as set out in the Order Form.
A contract year is typically defined in an Order Form, being each 12 month contract year starting on the Agreement Commencement Date specified in the Order Form.
11. Services
Two kinds of work sit alongside the subscription. Both are charged on the day rates in the Order Form.
Managed Services
Recurring catalogue operations beyond what the scope of the Subscription Services cover.
- The Customer's own catalogue above the included allowance
- Competitor catalogue, at any volume
- Product onboarding carried out by Neurolabs through its partner network, where the Customer has no way to capture in store or supply artwork
Professional Services
One-off engagements with a defined end.
- Implementation and onboarding: Tenant setup, configuration, Use Case definition, integration support and go-live
- Integration engineering beyond the documented endpoints
- Mobile SDK integration support
- Custom dashboard development
- Training and enablement
- Data migration from a third-party system
12. Outside the subscription
The following Services are not included as part of the Subscription Services, and for the avoidance of doubt, we have outlined where they are available as Professional Services from Neurolabs.
